TERMS AND CONDITIONS

These Terms & Conditions govern all services provided by Ashish Infotech including staffing services, software development, website/application development, digital solutions, and related professional services.
By engaging with Ashish Infotech, the client agrees to the following terms:
1. Advance Payment Policy (Development Projects)
- For any website, application, or software development project, the client must pay a minimum of 60% advance payment before project initiation.
- Remaining payment milestones will be defined based on project scope and delivery stages.
- Work will commence only after receipt of the advance payment.
2. Confidentiality & Data Protection
- Any information, documents, credentials, or data shared by the client shall be treated as strictly confidential.
- No client information will be shared with any third party without written consent, except where required by law.
- Ashish Infotech follows internal data protection practices to safeguard client information.
3. Staff Salary Confidentiality Policy
- Staff members deployed or associated with Ashish Infotech are strictly prohibited from discussing or sharing their salary details with any other staff member, whether inside or outside the workplace.
- Violation of this policy may lead to disciplinary action, including termination.
- This policy is implemented to maintain workplace harmony and operational efficiency.
4. Working Hours, Leave & Overtime
- Staff working hours shall comply with applicable IT Act and labor regulations.
- Staff will be entitled to leave on official occasions and approved holidays.
- Overtime work, if required, shall be compensated separately as per mutual agreement.
- Working hours may be increased or reduced based on project delivery requirements, only in special or critical cases and with prior intimation.
5. Staffing & Salary Assurance Policy
- Salary payment responsibility rests with the client for deployed staff.
- To ensure uninterrupted salary disbursement, Ashish Infotech may require:
- Audited balance sheets / financial statements of the client
- Advance salary security (up to 6 months) in specific cases
- Salary payment dates are clearly mentioned in the staff joining letter issued by Ashish Infotech.
6. Margin & Commercial Structure
- Ashish Infotech operates on a minimum service margin, generally ranging from 20% or above, calculated on staff salary or service cost, depending on engagement type.
- Margin structure may vary based on role complexity, project duration, and service scope.
7. Project Outsourcing
- Ashish Infotech reserves the right to outsource or subcontract project work, partially or fully, where required.
- In such cases:
- No personal, confidential, or sensitive client data will be shared
- Only essential technical information required for delivery will be used
- Client confidentiality remains fully protected
8. Project Cost, Delivery Cost & Source Code
- Project development cost and delivery/maintenance cost are separate, unless explicitly stated otherwise.
- If the client requires:
- Source code ownership
- Complete handover of repositories
an additional cost will be applicable and must be agreed upon in writing.
- Until full payment (including source code charges) is received, Ashish Infotech retains intellectual property rights.
9. Hosting & Domain Responsibility
- Hosting and domain purchase shall be the responsibility of the client.
- Ashish Infotech may assist in configuration and setup but shall not be liable for:
- Hosting downtime
- Domain expiry
- Third-party hosting service issues
10. Replacement Policy (Staffing Services)
- In case of staff resignation, unavailability, or approved replacement request, Ashish Infotech will provide a qualified replacement within 24–72 hours, subject to role availability.
- Replacement terms may vary based on skill specialization.
11. Safety & Compliance
- Ashish Infotech follows workplace safety standards and maintains internal safety records.
- Safety / LTI (Lost Time Injury) self-declaration may be provided upon agreement confirmation for compliance purposes.
12. Client Satisfaction & Performance
- Client satisfaction is monitored through internal reviews, feedback, and service continuity.
- A Client Satisfaction Index (CSI) declaration may be provided upon request or agreement confirmation.
13. Limitation of Liability
- Ashish Infotech shall not be liable for delays or failures caused by:
- Client dependency delays
- Force majeure events
- Third-party service disruptions
- Liability, if any, shall be limited to the value of services rendered.
14. Governing Law & Jurisdiction
- These Terms & Conditions shall be governed by the laws of India.
- Any disputes shall be subject to the jurisdiction of competent courts in Chhattisgarh.
15. Acceptance of Terms
- Engagement with Ashish Infotech, payment initiation, or service usage constitutes full acceptance of these Terms & Conditions.
